Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CrossLayer service ("Service") operated by CrossLayer, Inc. ("CrossLayer", "we", "us"). By signing in to or otherwise using the Service, you agree to these Terms. If you are signing in on behalf of an organization, you represent that you are authorized to bind that organization.
1. The Service
CrossLayer extracts structured operational knowledge ("skills") from your team's unstructured communications (e.g., Slack messages) and exposes that knowledge for governance, signal generation, and downstream use by other AI agents.
2. Your account
You must be at least 16 years old and provide accurate information when you sign in. You are responsible for activity that occurs under your account and for the security of credentials used to access it. Notify us immediately at security@crosslayer.ai if you suspect unauthorized access.
3. Ownership of content
You retain all rights, title, and interest in the content you submit to the Service ("Customer Content"), including messages ingested from connected tools, generated skill nodes, governance settings, and audit log entries. You grant CrossLayer a worldwide, non-exclusive, royalty-free license to host, process, and display Customer Content solely for the purpose of providing the Service to you.
We do not acquire ownership of Customer Content. We do not use Customer Content to train models for other customers or for the benefit of third parties.
4. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Use the Service to violate any law or third-party right
- Upload content that contains malware or that you do not have the right to share
- Attempt to circumvent rate limits, tenant isolation, or any security control
- Resell, sublicense, or white-label the Service without our written permission
- Use the Service to build a directly competitive product
5. Third-party integrations
The Service connects to third-party tools (Slack, GitHub, and others) at your direction via OAuth. Your use of those tools remains governed by their own terms. We are not responsible for the availability, behavior, or content of third-party services.
6. Beta / Early Access
The Service is currently in early access. Features may change, be removed, or have undocumented limitations. We provide the Service "AS IS" and "AS AVAILABLE" without warranties of any kind during this period. You should not rely on the Service for decisions where errors could cause material harm without your own human review.
7. Fees
The Service is currently provided at no charge to design-partner and trial users. We will give at least 30 days' notice before introducing paid plans for your workspace, and you may export and delete your data before any charge takes effect.
8. Confidentiality
Each party will protect the other's Confidential Information using the same care it uses for its own (and not less than a reasonable standard of care), and will use it solely to perform under these Terms. Customer Content is Customer's Confidential Information.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. AI OUTPUTS MAY BE INCOMPLETE, INACCURATE, OR INAPPROPRIATE AND SHOULD BE REVIEWED BY A HUMAN BEFORE BEING ACTED ON.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS, WHETHER IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CROSSLAYER IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). NOTHING IN THESE TERMS LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR ANYTHING THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
11. Indemnification
You agree to defend and indemnify CrossLayer against any third-party claim arising out of (a) Customer Content you submit, (b) your violation of these Terms, or (c) your violation of applicable law. CrossLayer will defend you against any third-party claim that the unmodified Service, as provided by us, infringes that party's intellectual-property rights, subject to standard cooperation requirements.
12. Termination
You may stop using the Service and delete your account at any time from the in-app Settings page or by emailing hello@crosslayer.ai. We may suspend or terminate access for material breach of these Terms with 14 days' notice (or immediately for security or legal reasons). On termination we will delete Customer Content within 30 days unless legally required to retain it.
13. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and the parties consent to personal jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will notify you by email and in-app at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
15. Miscellaneous
These Terms (together with our Privacy Policy) are the entire agreement between you and CrossLayer regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Neither party may assign these Terms without the other's written consent, except in connection with a merger, acquisition, or sale of substantially all assets.
